Your role as Legal Counsel at Movella

As our Legal Counsel you will be responsible for managing the legal aspects of commercial contracts, negotiating with clients and vendors, and ensuring compliance with regulatory requirements. Your expertise will guide our business decisions, helping to navigate complex legal landscapes while fostering a culture of risk awareness and proactive problem-solving. 

 

You will work closely with various departments, offering legal guidance to marketing, human resources, and executive leadership on business decisions and key corporate decisions. Your responsibilities will also include overseeing intellectual property matters, managing corporate governance, and supporting our employee equity plans. 

 

You will report to our VP Finance. You will be based in Enschede, the Netherlands. Working hybrid is an option.  

 

 

Key challenges: 

  • Commercial Contract Management: Lead the legal aspects of closing commercial contracts and negotiate with customers, vendors, and other parties. Provide coaching and training to sales representatives and team members to enhance their business acumen and negotiation skills. 

  • Mergers and Acquisitions Skills: Assist in due diligence, support negotiations and help structure deals. Ensure compliance with laws and regulations, and aid in the integration of acquired entities.  

  • Legal oversight of Equity and Debt Transactions: Ensure legal compliance in the issuance and management of equity and debt instruments. Assist in drafting and reviewing transaction documents, and support relationships with investors and lenders.  

  • Cross-Departmental Support: Collaborate with various departments, including marketing, human resources, and the executive team, to address legal inquiries and requests as they arise. 

  • Employee Equity Plan Oversight: Administer and ensure compliance of our employee equity plan, including reporting obligations in the US, China, and India for awards previously granted. 

  • Corporate Administration: Oversee corporate compliance and administration, including acting as corporate secretary and managing securities compliance and annual registration requirements for US-incorporated affiliates. 

  • Contract Administration: Ensure efficient management and oversight of all contract-related activities, guaranteeing alignment with corporate policies. 

  • Intellectual Property Management: Address potential infringement claims, manage trademark registration, and ensure compliance in collaboration with our Technology group 

  • Lender Compliance Reporting: Manage reporting and analysis to ensure compliance with requirements set by our lender, Francisco Partners. 

Job requirements

Movella is looking for a Legal Counsel with sound judgement. Someone who thrives in an environment where their ability to handle complex legal challenges is highly appreciated. You have: 

  • Degree from an accredited law school is required. 

  • 7-10 years' experience in a general business/commercial legal role; 

  • Significant in-house experience, preferably with an international growing or startup company  

  • Prior independent practice experience is a plus; 

  • Expertise in software licensing, technology development, strategic partnerships, and commercial sales (SaaS and traditional software); 

  • Solid understanding of intellectual property principles, including patents, trademarks, and copyrights
